Terms
Terms of business for Data Envoy’s services.
These terms apply to consulting and subscription services delivered by Data Envoy ApS, unless otherwise agreed in writing in the individual agreement.
1. The service
The scope is set out in the specific agreement. Data Envoy provides advice, setup, operation and reporting. Data Envoy does not make decisions or sign on the customer’s behalf.
2. Customer prerequisites
- Necessary read access throughout the agreement period
- One contact person who knows the systems
- Timely delivery of the information we ask for
- Own licences for third-party systems
- Responsibility for the lawfulness of the data we are given access to
- Willingness to make decisions when the numbers call for it
3. Price and payment
Prices are exclusive of VAT. Recurring services are invoiced monthly in advance, due on the 14th, unless otherwise agreed. Hours beyond those agreed are charged at the current hourly rate. Late payment accrues interest in accordance with the Danish Interest Act (renteloven).
4. Duration and termination
Agreements are entered into for the period stated in the agreement. Recurring agreements can be terminated with one month’s written notice to the end of a month, unless a lock-in period has been agreed. On termination, we deliver documentation and handover following the agreed procedure.
5. Rights
The customer owns its data and the reports, setups and configurations delivered as part of the service. Data Envoy retains the rights to general methods, templates and tools that are not customer-specific.
6. Liability
Data Envoy is liable under the general rules of Danish law, subject to the following limitations: liability cannot exceed the fees the customer has paid in the preceding 6 months, and does not cover indirect loss, loss of business or loss of data. Reporting is based on the data the customer’s systems contain — if that basis is deficient, the result may be too.
7. Confidentiality and governing law
The parties treat all information about each other’s affairs as confidential, also after the agreement has ended. Disputes are settled under Danish law at Data Envoy’s place of jurisdiction.
